Terms of Service

These Terms of Service ("Terms") govern access to and use of the Geniq website, platform, and related services (the "Services"). By using the Services you agree to these Terms. If you are using the Services on behalf of an organisation, you represent you have authority to bind it; "you" and "your" refer to the organisation.
1. Services
We provide AI-assisted communication, lead engagement, and workflow automation tools. We may modify features, provided changes do not materially reduce core functionality without notice.
Beta, experimental, or early-access functionality may be enabled for you at our discretion. Such features may be added, modified, rate-limited, or withdrawn at any time without liability.
2. Customer Responsibilities
- Provide accurate account and billing information.
- Use the Services in compliance with law (including consent for messaging).
- No abusive, unlawful, infringing, or high-risk usage.
- Safeguard access credentials; you are responsible for activity under your account.
3. Intellectual Property
We retain all rights to the platform, code, models, and associated materials. You retain rights to your data and content. We receive a limited licence to process Customer Data solely to deliver the Services.
4. Customer Data
You are responsible for ensuring Customer Data (including personal data) is lawfully collected. Processing is governed by our Privacy Policy and any Data Processing Agreement (if executed).
We may generate and use aggregated or anonymised data derived from Customer Data and usage metrics for: (a) improving and operating the Services; (b) developing new products; (c) analytics and benchmarking. Aggregated or anonymised data will not identify you or any natural person.
5. Confidentiality
Non-public information disclosed by either party marked or reasonably understood as confidential will be protected with at least reasonable care and used only for fulfilling these Terms. Exclusions: publicly known, independently developed, or rightfully received without restriction.
6. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
AI outputs are probabilistic and may be incomplete, outdated, or inaccurate. You are solely responsible for reviewing outputs before relying on them for commercial or compliance decisions. We do not provide legal, medical, or financial advice.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED: (A) INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARE EXCLUDED; (B) OUR TOTAL LIABILITY WILL NOT EXCEED FEES PAID IN THE 6 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations; in such cases the above applies to the maximum extent permitted by applicable law.
8. Suspension & Termination
We may suspend for security, legal compliance, non-payment, or abusive use. Either party may terminate for uncured material breach (30 days' written notice) or at any time for convenience (fees already paid are non-refundable unless agreed otherwise).
Upon termination (except for your breach) you may request export of standard data objects within 30 days. We are not obliged to retain data beyond retention windows or legal requirements.
9. Indemnity
You agree to defend, indemnify, and hold us harmless against third-party claims arising from (a) your unlawful use of the Services; (b) Customer Data infringement or violation of law; (c) misuse of AI outputs contrary to guidance or restrictions.
10. Governing Law
Unless otherwise agreed in writing, governing law will be the laws of Switzerland.
11. Export & Compliance
You represent you are not subject to sanctions or located in an embargoed jurisdiction and will not use the Services for prohibited purposes (for example spam, fraud, exploitation, or illegal surveillance).
12. Updates
We may update these Terms. Continued use after changes become effective constitutes acceptance.
13. Order of Precedence
If a written agreement or DPA is executed, that document prevails over these Terms in the event of conflict (unless expressly stated otherwise).
